Representative Experience

 

Bill's representative experience includes:

 

     Represented a limited partnership in the acquisition of the assets of a number of lift truck dealerships (and divisions and branches of dealerships) by asset purchases in multiple transactions over a number of years and located in three states.  Bill later represented the client in the sale of each of those assets in multiple transactions including a transaction providing for a rollover of an undivided percentage of the assets for equity in the acquiring entity.

     Represented the seller in the sale of entity interests in multiple companies owning title agencies and the entity interests in a title insurer to a subsidiary of a Fortune 500 company.

​

     Represented a corporation in the sale of the assets of a business that constructed and maintained infield pipeline and field processing infrastructures for oil and gas exploration and production companies.  The transaction included a rollover of an undivided percentage of the assets for equity in the acquiring entity.

​

     Represented the management group regarding formation of a new operating company with a private equity firm focused on providing mezzanine and equity capital to transportation and construction equipment dealerships.

​

     Represented a corporation in the sale of the assets of its offshore data division to a subsidiary of a multi-national corporation.

​

     Represented the management group regarding formation of an operating company with a private equity firm to acquire automobile related businesses.  

​

     Was lead counsel in the formation of a business joint venture among two domestic entities and a German entity for the manufacture of trench boxes and related equipment.

 

     Represented a limited liability company in the acquisition in multiple transactions of construction equipment dealerships in two states and the purchase of what was then the second largest medium duty truck dealership by volume in the US.  Bill later represented the client in the sale of each of those assets in multiple transactions.

     Represented a mortgage banking entity in the adjustment of its capital structure to provide multiple classes of equity for new equity holders.

​

     Represented a Canadian public company in the acquisition of three companies operating mortgage related businesses by reverse triangular merger.

 

     Represented a limited partnership in the sale of the scaffold assets of its three subsidiaries located in Texas and Louisiana. Bill had previously represented the client in the creation of the holding company structure to consolidate the operations of the subsidiaries and the restructuring the bank debt of the companies. 

 

     Represented a limited liability company in the acquisition of the assets of a business that repaired construction and other large equipment. 

​

     Represented a limited liability company in the acquisition of the assets of a company in the business of renting crane mats and providing related services.  Bill later represented the client in the acquisition of a timber mill to manufacture the crane mats.

​

     Represented a limited liability company in the acquisition of the assets of a number of companies and divisions and branches of companies that operate traffic safety and trench safety equipment rental businesses in multiple transactions over a number of years. 

​

     Represented a corporation in the disposition of the then largest independent copier dealership in the US to a public company by a tax free forward triangular merger.

​

     Represented a corporation in the acquisition of the assets or entity interests of entities operating automotive body repair and collision repair businesses in multiple transactions. 

​
